Terms of Service & SMS Terms — Vincenza LLC (Nevada City Nut Co.)

These Terms of Service ("Terms") are an agreement between you and Vincenza LLC, doing business as Nevada City Nut Co. ("Nevada City Nut Co.," "we," "us," "our"), a locally owned wholesale nut and dried-fruit distributor serving California's Gold Country. They cover the wholesale ordering app and website at nevadacitynut.com (the "Service"), our published price lists, and the email and text-message programs described below.

By creating an account, placing an order, or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a business, you confirm you are authorized to bind that business.

1. Wholesale accounts

The Service is for businesses buying at wholesale (restaurants, cafés, markets, bakeries, and similar). It is not for personal or household use.
You may create an account yourself. You must give accurate, current business, contact, and delivery information and keep it up to date.
We may approve, decline, limit, suspend, or close any account at any time, for any reason, with or without notice.
You are responsible for everyone you add as a buyer on your account and for all orders placed under it.

2. Orders

Placing an order is a request to buy, not a confirmed sale. An order is accepted only when we confirm it by email or fulfill it.
We may decline, limit, substitute with your approval, cancel, or refuse to fulfill any order at our discretion, including for product availability, credit, or delivery-area reasons.
Ground shipping is included on orders of 3 or more boxes. Smaller orders may carry a shipping charge or be held until they reach the minimum, as shown when you check out and on your confirmation.
Order changes or cancellations must be requested before the order ships. Once an order has shipped, the claims process in Section 6 applies.

3. Pricing

Prices, products, pack sizes, and availability may change at any time without notice. The price in effect when we confirm and fulfill your order applies.
Published price lists (printed, online at nevadacitynut.com/prices, or shared by text or email) are for information only and are not offers. Prices are subject to order confirmation.
Prices are quoted delivered, per case or per pound as labeled. Any applicable taxes or surcharges are added where required.

4. Payment & invoices

Invoices are due on the terms shown on each invoice. If no terms are shown, payment is due on receipt.
You can pay by card or bank transfer (ACH) through our payment processor, Stripe, by Zelle, or by another method we agree to. A processing fee may be added to card or ACH payments where shown at checkout.
We may hold, limit, or cancel orders on accounts with past-due balances, and may charge reasonable costs of collection and any returned-payment fees.
Refunds, when issued, go back to the original payment method or are applied as account credit, at our discretion.

5. Delivery & shipping

We currently serve businesses in Nevada, Yuba, Sierra, and Placer counties, and we ship elsewhere in our service area by ground carrier. We may decline delivery outside our service area.
Orders usually ship or go out for delivery the next business day. Delivery and shipping dates are estimates only and are not guaranteed. We are not responsible for delays outside our control, including carrier and weather delays.
Please inspect your order on arrival. Title and risk of loss pass to you on delivery.

6. Product quality, claims & returns

We stand behind the quality of our products. If anything arrives damaged, short, or incorrect, tell us within 48 hours of delivery by message in the app, email, or text, with photos where possible.
Approved claims are resolved by replacement, credit, or refund at our discretion.
Because our products are food, we generally cannot accept returns of opened or non-defective items. Store products as directed on the label.
Except as required by law, products are provided "as is" without other warranties. See Section 12.

7. Communications — email

By creating an account you agree that we may email you about your account and orders: sign-in links, order confirmations, invoices, delivery updates, replies to your messages, and occasional pricing or product updates. You can opt out of non-essential emails at any time by replying to any message or emailing info@nevadacitynut.com. Transactional emails (such as order confirmations and invoices) are part of the Service.

8. Text messaging (SMS) program

Program name: Nevada City Nut Co. Alerts
Registered brand: Vincenza LLC, doing business as Nevada City Nut Co.
Program description: Order and account text messages from Nevada City Nut Co. to wholesale customers and prospective customers who have opted in — order confirmations and delivery updates, invoice and payment reminders, replies to your questions, and occasional price-list or product-availability updates.

How you opt in: You consent to receive text messages from Nevada City Nut Co. when you (a) check the SMS consent box and provide your mobile number when creating or updating your account, (b) text us first at our business number, or (c) reply to a text from us. Consent to receive text messages is not a condition of purchasing any goods or services.

Message frequency: Message frequency varies. You will typically receive a few messages per month, and more while you have an active order.

Message and data rates may apply. Your mobile carrier's standard message and data rates apply to messages you send and receive. Check with your carrier for details.

To opt out: Reply STOP to any message at any time and you will be unsubscribed from further text messages. You will receive one final message confirming you have opted out. You can also opt out by emailing info@nevadacitynut.com.

Supported carriers: Major U.S. carriers are supported. Carriers are not liable for delayed or undelivered messages.

Your mobile information: We do not sell your mobile phone number. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text-messaging originator opt-in data and consent will not be shared with any third parties, except with the service provider that delivers messages on our behalf. See our Privacy Policy.

Consent language shown at sign-up (view the step): "I agree to receive text messages from Vincenza LLC (Nevada City Nut Co.) about my orders and account at the mobile number provided. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Consent is not a condition of purchase. See Terms of Service and Privacy Policy."

You represent that you are the owner or authorized user of the mobile number you provide, and you agree to tell us promptly if that number changes or is reassigned.

9. Your account & security

Keep your sign-in link, password, and devices secure. Anyone signed in on your account can place orders and see your order history.
Tell us right away at info@nevadacitynut.com if you believe your account has been used without permission, or if a buyer should be removed from your account.
You are responsible for all activity under your account until you notify us.

10. Acceptable use

You agree not to misuse the Service: no false or misleading information, no orders placed without authority, no interfering with the Service or its security, no scraping or automated access, no reselling access to the Service, and no unlawful use. We may suspend or close accounts that violate these Terms.

11. Content & intellectual property

The Service, our name, logo, wordmark, product descriptions, price lists, and images belong to Nevada City Nut Co. or our licensors. You may use price lists and product information we share with you for your own business purchasing. You may not copy, republish, or use our branding or content for any other purpose without our written permission.

12. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that any product will be available. Product information such as allergen and ingredient statements is provided by our suppliers; please read product labels and contact us with any questions before ordering.

13. Limitation of liability

To the fullest extent permitted by law, Nevada City Nut Co. and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or business, arising out of or related to the Service, these Terms, or any order. Our total liability for any claim arising from an order is limited to the amount you paid for that order. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Nevada City Nut Co. from claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your orders, your breach of these Terms, or your violation of any law or third-party right.

15. Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Nevada County, California, and you consent to their jurisdiction. Before filing any claim, you agree to contact us at info@nevadacitynut.com and give us 30 days to try to resolve it with you.

16. Changes to these Terms

We may update these Terms from time to time. Changes take effect when we post the updated version here with a new effective date. Continued use of the Service after a change means you accept the updated Terms. For material changes to the text-messaging program, we will also notify opted-in subscribers by text or email.
